A brief background of the Orion Financial principals.

Alan R. Geiwitz

Mr. Geiwitz is a founder and principal of Orion Financial Corp., and has actively been involved in financial management for over 25 years.

Prior to forming Orion, Mr. Geiwitz was Vice President and Manager of a commercial lending division which handled manufacturing, wholesaling and leasing companies at Norwest Bank, Minnesota, and also worked in the Loan Administration Division of Norwest Corporation.

Mr. Geiwitz is on the Board of Directors, or is an advisor to the board of the following companies: Idea Drilling LLC, JLJ Medical Devices International LLC, Lake Air Metal Products LLC, Lake Air Metal Stamping LLC d.b.a. Taber Bushnell, Mercury Waste Solutions, Inc., Midwest Financial Services LLC, Minex LLC, Orion Financial Corp., and Yale Mechanical LLC. Mr. Geiwitz is a cum laude graduate of Mankato State University with a double major in Business Administration - Finance and Mathematics.

Troy Jones

Mr. Jones is a principal of Orion Financial Corp. Prior to joining Orion Financial Corp.in 1993, Mr. Jones was the Director of Finance in the South Dakota Governor’s Office of Economic Development (GOED). The Division of Finance was often the lead lender with responsibility for structuring financing to insure full participation and cooperation from a variety of private and governmental financial sources.

During his tenure at GOED, the loan portfolio under his supervision grew from 11 companies and $3 million to over 180 companies and $55 million. The companies in the portfolio employed approximately 25% of South Dakota’s manufacturing - based employees. Assets of all loan programs formerly under his direction exceeded $80 million.

Mr. Jones is a graduate of The George Washington University with a Bachelor of Business Administration concentrating in Finance.

Joseph G. Kimmel

Mr. Kimmel is a principal of Orion Financial Corp. Prior to joining Orion Financial Corp., Mr. Kimmel was founder and principal of Bingham Kimmel & Associates, Inc., a firm specializing in representing owners in the sale of their privately held businesses, providing business appraisals, and business restructuring and reorganization.

Mr. Kimmel has owned and operated his own company and held senior executive management positions with several large public corporations. He was a Vice President in the Merchant Banking Group of First Bank Systems specializing in the originating, structuring and financing leveraged buyout transactions. As an executive at Munsingwear, Inc. and Poppin Fresh Pies, he was responsible for strategic aquisitions and divestitures of corporate entities.

Mr. Kimmel is a graduate of the University of Minnesota with a degree in Accounting.
